# Tensor Cortex Studio Software License

## 1. Status And Acceptance

Version 2026-09-05.3. Effective 5 September 2026 for builds supplied under this License. Publishing these terms does not announce that a public download is available.

This Studio Software License is an agreement between you and Serkan Altuntaş, independently publishing and licensing Studio from Istanbul, Türkiye under the Tensor Cortex name. The publisher's employer is not a party to this License.

By accepting this License and installing or using a build supplied under it, you agree to its terms. If you do not agree, do not install or use the software. If you act for an organization, you must have authority to bind it.

## 2. Beta Scope And License

Tensor Cortex Studio is pre-release software for local AI model-development workflows on supported Apple Silicon Macs. It is not a promise of future functionality.

Subject to this License, Tensor Cortex grants you a limited, non-exclusive, non-transferable license to install and use the software on Macs you own or control for lawful personal, academic, internal, or commercial model-development work without a license fee. Personal non-commercial use requires no notification. Commercial or organizational use requires only successful submission of the website notification, with no manual approval or license key. Free use of an acquired build continues after beta, subject to this License and its breach/termination provisions. This does not permit redistribution or commercialization of the proprietary Studio application itself.

Submit a free notification once for your organization or professional practice for each major release series you use commercially or organizationally. Each numbered family, including 0.x, 1.x and 2.x, is a separate major release series for this purpose. Select the relevant available series in the form. A successful notification covers every update within that series, without renewal for each project or Mac. Before using a different major series commercially or organizationally, submit a new free notification; no approval is required. Your right to continue using a previously notified series is unaffected. The notification is web-only, with no desktop registration form, activation request or telemetry. It does not grant third-party model or dataset rights or promise free future services. The page states whether notifications are open; a notification is complete when successfully recorded in the website register, with an on-screen reference. Email alerts to the publisher are supplementary; their delay or failure does not affect a recorded notification. An unsuccessful or unavailable submission is not a completed notification.

The license does not transfer ownership of Tensor Cortex intellectual property. Separately identified open-source components remain governed by their own licenses.

## 3. Your Projects, Models, And Data

As between you and Tensor Cortex, you retain your rights in project files, datasets, prompts, outputs, model files, adapters, checkpoints, and exported artifacts. Studio is designed to keep the canonical project and workload artifacts on your Mac by default.

You are responsible for backups, the lawfulness and accuracy of your data, and the licenses, notices, privacy duties, export restrictions, and use restrictions that apply to every model, dataset, dependency, and artifact you use or distribute. Tensor Cortex does not grant rights to third-party models or datasets.

Do not use Studio in a way that violates law, third-party rights, model or dataset licenses, or applicable platform terms.

Studio may support fine-tuning, evaluation, packaging, and later response or sequence-level distillation. For distillation, you are responsible for confirming that the teacher model or service terms permit the prompts, teacher outputs, synthetic training records, student training, and intended use or distribution. Tensor Cortex does not grant rights in teacher outputs or remove restrictions imposed by a model author, dataset owner, or provider.

## 4. Network Access And Privacy

Studio connects to a model repository or provider only when you choose to obtain or use a supported model. The confirmation screen must identify the provider, repository or service, requested revision where applicable, and relevant third-party terms. Current pre-release builds use Hugging Face for downloads. The provider receives ordinary connection metadata and the requested files or revision under its own terms; Tensor Cortex does not receive that download or attach project workload content to it.

Studio uses Sparkle for manual software-update checks and for scheduled checks only after you opt in. Update requests expose ordinary connection metadata to Tensor Cortex's hosting and update-delivery infrastructure but do not include project workload content. Installing an offered update remains a separate choice.

The first public beta has no product telemetry, automatic crash reporting, account login, or remote project storage. Acceptance of this License, updater consent, and model-download consent do not authorize diagnostic reporting. The Privacy Policy describes the current boundary and controls.

Additional models and local distillation may be added under this License without changing the local-data boundary. A feature that sends prompts, teacher responses, datasets, models, credentials, or other project content to a remote API or compute service requires a separate, clear confirmation of the recipient and transfer before submission.

Functionality outside the local Studio boundary is not licensed or authorized merely because it appears in a roadmap or later application build. Before use, it may require supplemental terms and a feature-specific privacy notice. If supplemental terms conflict with this License, they control only the functionality they expressly cover.

## 5. Restrictions

Except where applicable law or an identified open-source license expressly permits it, you may not bypass security, signature, integrity, or license controls; introduce malicious code or unlawfully access systems or data; misrepresent beta output, benchmarks, support status, or Tensor Cortex affiliation; rent, sublicense, sell, or distribute the proprietary software as a standalone product; or remove proprietary notices.

Nothing in this section limits non-waivable rights to inspect or interoperate with software under applicable law.

## 6. Feedback

If you voluntarily provide product suggestions, you grant Tensor Cortex a non-exclusive, worldwide, royalty-free right to use those suggestions to improve its products. This does not transfer ownership of your projects, grant rights to confidential materials, or override privacy and deletion rights. We will not identify you publicly without permission. Do not include confidential workload content or third-party material you are not authorized to share.

## 7. Updates, Changes, And Support

There is no fixed beta end date; its end will be announced separately. Ending beta does not itself terminate the free license for an acquired build or lock the application. Email support at hello@tensorcortex.com is best-effort, with no guaranteed response or resolution time.

Tensor Cortex may change, suspend, or discontinue the public beta or a feature for security, legal, provider-availability, hardware-compatibility, product-integrity, or other substantial operational reasons. No maintenance, uptime, feature-completion, data-recovery, or support commitment is provided unless agreed in writing. Mandatory update and conformity rights remain unaffected.

Studio may offer signed updates. You control whether scheduled checks are enabled and whether an offered update is installed. Security or compatibility reasons may make an older build unsupported; Tensor Cortex does not promise a silent downgrade or restoration of an earlier local project state.

Each distributed build must identify its supported macOS and hardware matrix, known limitations, update method, and recovery path.

The supported model, backend, format, and recipe matrix may change as third-party licenses, repositories, providers, compatibility, and evidence change. A matrix change does not amend this License, grant new third-party rights, or delete models and project artifacts already stored on your Mac. A materially adverse software modification will be communicated and handled as required by applicable consumer law.

## 8. Third-Party Components

Studio includes or interacts with software, models, datasets, repositories, and services supplied by third parties. Their licenses, privacy terms, acceptable-use rules, attribution requirements, and availability may apply independently.

The application provides a Third-Party Notices file from Settings for software included in the release. Models obtained separately retain their repository- or provider-supplied license and provenance. The application support matrix identifies what Tensor Cortex has tested; it is not a license clearance or representation that a model, dataset, teacher output, or generated artifact is lawful for every use.

References to Apple, Hugging Face, MLX, Sparkle, model authors, dataset authors, or other providers do not imply partnership, endorsement, license clearance, or guaranteed compatibility.

## 9. Disclaimers

To the fullest extent permitted by law, the software and related materials are provided as is and as available, with all faults and without warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, or error-free operation.

Tensor Cortex does not warrant that training will improve a model, that an evaluation is complete, that generated output is correct, that third-party content is licensed for your use, or that Studio is suitable for production, regulated, safety-critical, or high-impact decisions. Some jurisdictions do not allow certain exclusions, so some exclusions may not apply to you.

## 10. Limitation Of Liability

To the fullest extent permitted by law, Tensor Cortex will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost models or datasets, business interruption, or reliance on generated output arising from Studio or this License.

No fixed aggregate monetary liability cap applies under this License. Nothing excludes or limits liability for intentional misconduct, gross negligence, death or personal injury, or any other liability to the extent it cannot lawfully be excluded or limited. Mandatory consumer remedies remain unaffected.

## 11. Termination And Governing Law

You may end this License by stopping use and deleting Studio. Tensor Cortex may terminate it for a material breach, with notice and a reasonable opportunity to remedy a remediable breach unless immediate action is necessary for law, safety or security. Terms that by their nature should survive—including ownership, third-party responsibility, disclaimers, liability limits, and governing law—will survive. Termination does not transfer or delete project artifacts stored on your Mac, cancel independent third-party licenses, or remove rights you already hold in exported artifacts.

License changes apply prospectively to builds or features supplied under the changed terms, with notice and acceptance where required. They do not retroactively revoke the free license of an acquired build. If a provision is unenforceable, the remaining provisions continue only to the extent permitted by law.

This License does not select a contractual governing law or exclusive court. The law and courts determined by applicable conflict-of-law, jurisdiction, and mandatory consumer-protection rules apply. Nothing limits mandatory rights that apply where you live.
